TERMS AND CONDITIONS (T&C)

These Terms and Conditions ("T&C") constitute a legally binding agreement between you and ToModern e.U. ("we," "us," or "our") and govern your access to and use of the StoicOS platform, including the mobile application, the web application at https://stoicos.co, and all associated media (collectively, the "Services").

By accessing the Services, you acknowledge that you have read, understood, and agreed to be bound by these T&C. IF YOU DO NOT AGREE WITH ALL OF THESE T&C, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES.


1. THE SERVICES AND SUBJECT MATTER

StoicOS is a minimalist digital environment designed to reduce distractions through a mobile launcher and web-based productivity tools.

  • Scope of Service: We provide the technical platform and the launcher. We are not responsible for the availability or functionality of third-party applications managed through StoicOS.
  • AI Support: We utilize AI to assist in the review and categorization of apps. This feature is intended for non-binding guidance only and does not replace your own assessment of an app’s digital security or suitability.
  • Updates: We reserve the right to further develop the Services to ensure security and functionality (particularly within the framework of statutory update obligations for digital products).
  • Analytics (Google Analytics / gtag): We use the Google Analytics tag on our website to measure and analyze traffic and usage. Where required by law, this is only enabled after you provide consent via our cookie banner, and you can withdraw consent at any time by changing your cookie preference.

2. PAYMENTS, BILLING, AND REFUNDS (PADDLE)

Our order process is conducted by our online reseller Paddle.com.

  • Merchant of Record: Paddle.com (Paddle Payments Ltd. or Paddle.com Market Ltd.) is the "Merchant of Record" for all our orders. Paddle is your contractual partner for the payment process and issues the invoice. For payment processing, taxes, and invoicing, Paddle's Checkout Terms apply.
  • Refund Policy: In accordance with Paddle’s Buyer Terms, you have a 14-day period to request a refund for your purchase. Please see Section 3 ("Consumer Right to Cancel") for detailed instructions on how to exercise this right.
  • Subscriptions: Paid subscriptions automatically renew until cancelled. You may cancel at any time via the link in your receipt or by contacting Paddle. There are no refunds on unused subscription periods after a renewal has processed; the 14-day right to cancel applies only to the initial subscription purchase.

3. CONSUMER RIGHT TO CANCEL (WITHDRAWAL)

If you are a Consumer (purchasing for personal use), you have the right to cancel this Agreement and return the Product within 14 days without giving any reason.

  • Cancellation Period The cancellation period will expire after 14 days from the day after completion of the Transaction.
  • How to Cancel To exercise your right to cancel, you must inform Paddle of your decision. To ensure immediate processing, please contact the Paddle Buyer Support Team directly here.
  • Subscription Exception: In respect of subscription services, your right to cancel is only present following the initial subscription purchase and not upon each automatic renewal.

4. WARRANTY AND LIMITATION OF LIABILITY

  • Warranty: Statutory warranty provisions apply (particularly according to the VGG for digital services). We warrant that the Services meet the contractually agreed or objectively required characteristics.
  • Limitation of Liability: We are liable without limitation for damages resulting from injury to life, body, or health, as well as for damages based on intent or gross negligence.
  • Slight Negligence: In cases of slight negligence, we are only liable for the breach of a material contractual obligation (an obligation whose fulfillment is essential for the proper execution of the contract).
  • Specific Disclaimer (Launcher): We are not liable for missed notifications, malfunctions of third-party apps (e.g., alarm clocks, medical apps, or emergency call systems), or data loss resulting from the use of focus modes or the launcher. It is your responsibility to exclude critical apps from restrictions.

5. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  1. Your registration information is truthful and current;
  2. You have the legal capacity to enter into this agreement;
  3. You will not use the Services for any illegal purposes (e.g., malware distribution, unauthorized data mining).

6. INTELLECTUAL PROPERTY

All content within the Services (code, design, logos, text) is the property of ToModern e.U. or its licensors. You are granted a non-exclusive, non-transferable right to use the Services for personal (or agreed business) use during the term of the contract.


7. AMENDMENTS TO THE T&C

We reserve the right to modify these T&C to adapt to legal or technical changes. We will notify you of changes at least 30 days in advance via email. If you do not object within this period, the new T&C shall be deemed accepted. In the event of an objection, we reserve the right to terminate the contractual relationship at the earliest possible date.


8. GOVERNING LAW AND JURISDICTION

  • Governing Law: These terms are governed by the laws of the Republic of Austria, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
  • Jurisdiction: For commercial entities, the place of jurisdiction is Vienna. For consumers, the statutory place of jurisdiction applies (usually their place of residence).
  • Online Dispute Resolution: The EU Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr. We are not obliged to participate in dispute resolution proceedings before a consumer arbitration board.
